Terms of Service

Plain-English summary

The short version (the rest is the binding text):

  • You need an account to use Aivont. You're responsible for what happens under it.
  • Credits are how you pay. You can subscribe (monthly) or buy top-ups (one-time). Subscriptions auto-renew until you cancel.
  • Aivont can act on your computer when you ask it to — you're in charge of what you authorize.
  • AI outputs aren't guaranteed correct. Check before you ship.
  • Don't use Aivont for the obvious bad stuff (illegal, harmful, abusive, etc.).
  • If something goes wrong, we have a refund + dispute process. We'd rather fix things than fight.

1. Acceptance + parties

These Terms of Service ("Terms") form a binding agreement between you ("you", "your") and Aivont ("Aivont", "we", "us", "our") concerning your access to and use of the Aivont website at aivont.com and the Aivont desktop application (together, "the Service"). By creating an account, downloading the application, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy.

If you don't agree, don't use the Service.

If you're using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes both you personally and that organization.

2. What Aivont is

Aivont is a desktop AI assistant. It runs on your computer, lets you chat and speak with AI models, can run tools (files, shell commands, web search) when you authorize it to, and remembers facts across sessions.

The Service depends on third-party AI model providers, payment processors, and other infrastructure providers. Their availability and behavior affect ours.

3. Beta program

Aivont is currently in private beta. While in beta:

  • Access is by application. Approval is at our discretion.
  • The Service may be unstable, change without notice, lose data, or be unavailable.
  • Features, pricing, and credit allocations may change.
  • Beta participants are asked (not required) to share feedback.
  • We may terminate beta access for any reason on notice, including ending the program entirely.

Public commercial release will be governed by these Terms as updated at that time.

4. Your account

To use most of the Service, you need an account. You must:

  • Be at least 13 years old (16 in the EU/UK).
  • Provide a real, working email address.
  • Keep your password (or your Google OAuth credentials, if you sign in with Google) secret.
  • Promptly notify us at [email protected] if you suspect your account has been compromised.

You are responsible for everything that happens under your account, including activity by anyone you give your password to. We strongly recommend enabling two-factor authentication.

One account per person. You may not create multiple accounts to evade rate limits, dodge bans, or abuse free-tier credits.

5. Credits + billing

Credits. Aivont operates on a credit system. Different actions (chat turns, voice transcription, image processing, tool calls) consume different amounts of credits based on their underlying cost. Current per-plan allocations are shown on the Pricing page and are also retrievable from inside the app at any time.

Included credits refresh at the start of each billing period and do not roll over. Paid credits (from top-up purchases) do not expire and persist across billing periods.

Subscriptions auto-renew at the end of each billing period at the then-current price until you cancel. You can cancel any time from your account settings; cancellation takes effect at the end of the current period (no proration of partial periods).

Payment processing. Payments are handled by third-party payment processors. Depending on your region, a processor may act as Merchant of Record and be responsible for billing you and handling local taxes. We never see or store your full card number.

Pricing changes. We may change pricing on at least 30 days' notice to your account email for active subscribers. Changes take effect at your next renewal.

Taxes. Prices on the Pricing page are exclusive of taxes unless specified. Applicable taxes are calculated and charged at checkout where required.

6. Refunds + chargebacks

The headline rules — 14-day money-back guarantee on first subscriptions (if ≤20% credits used), full refund on unused top-ups, plus refunds for duplicate charges, unauthorized charges, and outages over 24 hours — are set out in detail on our standalone Refund Policy page. That page is the canonical source; it expands on this summary and is incorporated by reference into these Terms.

Quick summary. Subscription fees beyond the 14-day window are non-refundable except where required by applicable law (notably the EU/UK "right of withdrawal" within 14 days of first purchase, subject to the consumption waiver under Article 16(m) of the Consumer Rights Directive). Top-up credit purchases are non-refundable once any credits from that purchase have been used. See /refund for the eligible / not-eligible breakdown and the request process.

Chargebacks. Please contact [email protected] before initiating a chargeback with your bank. We move on legitimate refunds in 2 business days; chargebacks take 60-90 days and hurt both sides. Chargebacks initiated without first contacting us may result in account suspension and forfeiture of remaining credits.

7. Acceptable use

You agree not to use the Service to:

  • Generate, distribute, or facilitate illegal content, including child sexual abuse material (CSAM), terrorism content, or material that infringes intellectual property rights.
  • Create content that targets, harasses, or threatens specific individuals; defamation; doxing.
  • Design weapons (chemical, biological, radiological, nuclear, conventional) or malware.
  • Conduct fraud, scams, phishing, impersonation, or social engineering against others.
  • Bypass safety systems, prompt-inject upstream models, or attempt to extract training data or model weights.
  • Circumvent our rate limits, credit accounting, fresh-auth gates, or access controls.
  • Reverse engineer, decompile, or disassemble the application except where this restriction is prohibited by law.
  • Use the Service to build a competing AI assistant product (you may use Aivont as an end user; you may not scrape outputs to train a competing model).
  • Run the Service for any purpose involving high-risk decision-making (medical diagnosis, legal advice, financial trading) without independent human review.
  • Send spam, malicious links, or denial-of-service traffic through Aivont's tools.

The acceptable-use policies of our upstream model providers also apply to your use of the Service. If you violate them, we may be required to suspend your access.

8. Tool actions on your computer

Aivont can run shell commands, edit files, control your browser, send notifications, and execute scheduled tasks when you grant it permission to do so. The permission system gives you three levels (Cautious, Balanced, Autonomous) and per-action approval — pick what matches your risk tolerance.

You are solely responsible for the actions you authorize. We recommend keeping irreversible operations behind explicit approval, especially in directories outside Aivont's working folder.

We are not liable for data loss, system damage, or unintended actions arising from tools you've authorized Aivont to use.

9. AI outputs — your content, your responsibility

The text, code, files, and other artifacts the assistant produces in response to your prompts ("Outputs") are yours. We claim no ownership over Outputs.

However:

  • The same prompts can produce similar outputs across users. We cannot guarantee Outputs are unique to you.
  • Outputs may be inaccurate, biased, outdated, or otherwise wrong. Verify before relying on them in any consequential context.
  • You are responsible for ensuring your use of Outputs complies with applicable law and third-party rights (copyright, trademarks, privacy).
  • If you publish Outputs as your own work, that's your call — we don't require attribution.

10. Our intellectual property

The Aivont application, website, design, brand, and underlying source code are owned by Aivont and protected by intellectual property law. Your subscription grants you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. We grant no other rights, express or implied.

You may not use the Aivont name, logos, or trademarks except as needed to fairly describe your use of the Service.

11. Third-party services

The Service relies on third-party providers for AI model inference, payment processing, infrastructure, and other functions, as described in our Privacy Policy. Their terms and privacy policies govern your use of their services. We're not responsible for outages, data handling, or actions by third parties.

12. Suspension + termination

We may suspend or terminate your account at any time, with or without notice, if:

  • You violate these Terms or our acceptable use policy.
  • You attempt to abuse the Service (multi-accounting, credit-fraud, chargebacks without contact).
  • Your payment fails and is not cured within 30 days.
  • We're required to do so by law, court order, or upstream provider.
  • We decide to end the Service generally (we'll give you reasonable notice and a path to export your data).

You may delete your account at any time from Account → Privacy → Delete account. On deletion we remove your account profile, sessions, scheduled tasks, conversation metadata, credit balance, and subscription. Certain billing identifiers may be retained in anonymized form for finance and audit purposes as required by law.

Sections 5 (credits + billing — outstanding amounts), 7 (acceptable use), 9 (AI outputs), 13 (disclaimers), 14 (limits of liability), 15 (indemnity), 16 (governing law + disputes), and 18 (general) survive termination.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT (A) AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, OR FIT FOR ANY PURPOSE; (B) TOOL ACTIONS WILL EXECUTE WITHOUT ERROR OR UNINTENDED CONSEQUENCES; (C) THE SERVICE WILL BE AVAILABLE AT ANY GIVEN TIME; OR (D) DATA WILL BE PRESERVED WITHOUT LOSS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. WHERE THAT'S THE CASE, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT ALLOWED BY LAW.

14. Limits of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL AIVONT (INCLUDING ITS OFFICERS, EMPLOYEES, OR AGENTS) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATING TO THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE, REGARDLESS OF THE CAUSE OR FORM OF ACTION, WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$100.

THIS LIMIT APPLIES EVEN IF WE'VE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW (FOR EXAMPLE, FRAUD, DEATH, OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE).

15. Indemnity

You agree to defend, indemnify, and hold harmless Aivont and its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your breach of these Terms, (b) your misuse of the Service, (c) your violation of any third-party right (including intellectual property rights), or (d) any content you input into the Service or any action you authorize the assistant to perform.

16. Governing law + dispute resolution

These Terms are governed by the laws of the Arab Republic of Egypt, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved as follows:

Step 1 — Informal resolution. Email [email protected] with a description of the dispute and your contact information. We'll try in good faith to resolve it within 30 days.

Step 2 — Formal proceedings. If we can't resolve informally, disputes will be brought exclusively in the competent courts of the Arab Republic of Egypt. You and Aivont each waive any right to a jury trial.

Consumer carve-out. Nothing in this section restricts your right (if you're a consumer in the EU/UK) to bring proceedings in the courts of your country of residence, or to use the European Commission's Online Dispute Resolution platform.

17. Force majeure

Neither party will be liable for any failure or delay in performance caused by events outside its reasonable control, including but not limited to acts of nature, war, terrorism, civil disturbance, pandemic, governmental action, internet or telecommunications outages, or failures of third-party providers.

18. General

Entire agreement. These Terms, along with the Privacy Policy, constitute the entire agreement between you and Aivont regarding the Service.

Severability. If any provision is found unenforceable, the remaining provisions remain in effect.

No waiver. Our failure to enforce any right is not a waiver of that right.

Assignment. You may not assign these Terms without our prior written consent. We may assign them as part of a merger, acquisition, sale of assets, or by operation of law.

Updates. We may update these Terms. Material changes will be announced inside the app and by email at least 30 days before they take effect. Continued use after the effective date means you accept the new Terms.

Notices. Notices to you may be sent to the email on file for your account. Notices to us should go to [email protected].
